1. Acceptance of Terms

Welcome to LUNA - AI Art Generator ("LUNA," "the App," "the Service"), operated by Rocket Digital Limited ("Company," "we," "us," or "our"), a company incorporated in Hong Kong with its registered office at 1603, The L Plaza, 367-375 Queens Road Central, Hong Kong.

By downloading, installing, accessing, or using LUNA, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you and Rocket Digital Limited.

You represent that you are at least 13 years of age (or the minimum age required in your jurisdiction) and have the legal capacity to enter into these Terms. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Description of Service

LUNA is an AI-powered art generation application available on iOS (Apple App Store) and Android (Google Play Store). The Service allows users to:

• Generate images from text prompts using artificial intelligence models
• Transform uploaded photographs using AI-powered style transfer and editing tools
• Access a variety of AI models and art styles, including anime, fantasy, portrait, photorealistic, and other categories
• Save, download, and share generated artwork
• Access free and premium features depending on subscription tier

The Service leverages multiple third-party AI providers and may be updated, modified, or expanded at our discretion. We reserve the right to add, remove, or change features, AI models, or art styles at any time without prior notice.

3. User Accounts and Registration

3.1 Account Creation

Certain features of the Service may require you to create an account or sign in using a third-party authentication provider. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately at hello@rocketdigital.ai if you become aware of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 One Account Per User

Each user may maintain only one account. Creating multiple accounts to circumvent usage limits, exploit free tier allowances, or evade enforcement actions is prohibited and may result in the termination of all associated accounts.

4. Subscriptions and Payments

4.1 Free and Premium Tiers

LUNA offers both free and premium subscription tiers. Free users receive a limited number of daily image generations. Premium subscribers ("LUNA Pro") gain access to additional features including unlimited generations, premium AI models, faster processing, higher resolution outputs, and an ad-free experience.

4.2 Payment Processing

Subscriptions are processed through the Apple App Store (for iOS) or Google Play Store (for Android). Payment processing and subscription management is facilitated by RevenueCat on our behalf. All payment transactions are governed by the terms and policies of the respective app store through which you subscribe.

4.3 Billing and Renewal

Subscriptions automatically renew at the end of each billing period (weekly, monthly, or annually, depending on the plan selected) unless you cancel before the renewal date. Your app store account will be charged for renewal within 24 hours prior to the end of the current billing period at the rate of the selected plan.

4.4 Cancellation

You may cancel your subscription at any time through your Apple App Store or Google Play Store account settings. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the end of the period for which you have already paid. No partial refunds are provided for unused portions of a billing period.

4.5 Refunds

Refund requests are handled by the Apple App Store or Google Play Store in accordance with their respective refund policies. We do not process refunds directly. If you believe you are entitled to a refund, please contact the relevant app store or reach out to us at hello@rocketdigital.ai for assistance.

4.6 Price Changes

We reserve the right to change subscription pricing at any time. Price changes will not affect your current billing period. For existing subscribers, any price increase will take effect at the start of the next billing period following reasonable notice, as required by the applicable app store policies.

5. AI-Generated Content Ownership and Licensing

5.1 Ownership of Generated Content

Subject to the terms and limitations set forth herein, you retain ownership of the images you generate using LUNA to the fullest extent permitted by applicable law. You acknowledge that the legal status of ownership and copyright in AI-generated content is evolving and may vary by jurisdiction. We make no representations or warranties regarding your ability to claim copyright protection over AI-generated images.

5.2 License to Use Generated Content

You are granted a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, distribute, and display images generated through the Service for personal and commercial purposes, subject to these Terms and the Acceptable Use Policy below.

5.3 License to Company

By using the Service, you grant Rocket Digital Limited a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your generated content for the purposes of operating, improving, and promoting the Service. This includes, but is not limited to, using anonymized and aggregated content for training, quality assurance, marketing, and promotional materials. We will not sell your individual generated content to third parties.

5.4 No Guarantee of Uniqueness

AI models may produce similar or identical outputs for similar prompts submitted by different users. We do not guarantee that any image generated through the Service will be unique to you.

6. Acceptable Use Policy

6.1 Permitted Use

You may use LUNA for lawful, personal, and commercial creative purposes, including but not limited to creating artwork, illustrations, concept art, social media content, and marketing materials.

6.2 Prohibited Content

You agree not to use the Service to generate, attempt to generate, or distribute content that:

• Depicts, promotes, or facilitates child sexual abuse material (CSAM) or the sexual exploitation of minors in any form
• Contains non-consensual intimate imagery of real persons (including deepfakes of a sexual nature)
• Promotes, incites, or glorifies violence, terrorism, self-harm, or suicide
• Constitutes hate speech targeting individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
• Is defamatory, harassing, threatening, or intended to intimidate any person
• Infringes upon the intellectual property rights, privacy rights, publicity rights, or other rights of any third party
• Is deceptive, fraudulent, or designed to mislead, including creating fake identities, forged documents, or disinformation
• Depicts real public or private figures in a misleading, defamatory, or harmful manner without consent
• Violates any applicable local, national, or international law or regulation
• Attempts to reverse-engineer, extract, or replicate the underlying AI models or their weights

6.3 Enforcement

We reserve the right, but are not obligated, to review, monitor, and remove content that violates this Acceptable Use Policy. We may suspend or terminate your account without prior notice if we determine, in our sole discretion, that you have violated these Terms. We may also report illegal content or activity to the appropriate law enforcement authorities.

6.4 Automated Safeguards

LUNA employs automated content moderation systems provided by our AI service providers. These systems may block or filter prompts and outputs that are flagged as potentially violating our policies. You acknowledge that these systems are not perfect and may occasionally block legitimate content or fail to catch all prohibited content.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its design, user interface, graphics, logos, trademarks, software code, algorithms, and all related intellectual property, is owned by or licensed to Rocket Digital Limited. Nothing in these Terms grants you any right, title, or interest in the Service or our intellectual property except for the limited right to use the Service as expressly permitted herein.

7.2 Trademarks

"LUNA," "LUNA AI Art Generator," the LUNA logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Rocket Digital Limited. You may not use these marks without our prior written permission.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an irrevocable, non-exclusive, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

8. User-Uploaded Content

8.1 Uploaded Photos and Images

Certain features of LUNA allow you to upload photographs or images for AI processing, including style transfer, AI portraits, and image-to-image generation. By uploading content, you represent and warrant that:

• You own the uploaded content or have obtained all necessary rights, licenses, and permissions to use it
• The uploaded content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party
• You have obtained consent from any identifiable individuals depicted in the uploaded content, where required by applicable law

8.2 Processing and Storage

Uploaded content is transmitted to our servers and third-party AI service providers for processing. We may temporarily store uploaded content for the purpose of delivering the Service. We do not claim ownership of your uploaded content. Please refer to our Privacy Policy for detailed information about how we handle your data.

8.3 Responsibility

You are solely responsible for the content you upload and the resulting AI-generated images. We are not responsible for any claims, damages, or liabilities arising from your uploaded content or the use of generated images derived from it.

9. Third-Party Services and APIs

LUNA integrates with and relies upon various third-party services to deliver its functionality. These services include, but are not limited to:

• OpenAI— AI image generation (subject to OpenAI's Terms of Use)
• Microsoft Azure— AI services and cloud infrastructure
• Replicate— AI model hosting and inference
• Fal.ai— AI model hosting and inference
• Firebase (Google)— Backend infrastructure, authentication, and data storage
• RevenueCat— Subscription and payment management
• Google AdMob— Advertising services for free-tier users
• Google Analytics— Web analytics and usage tracking
• Meta Pixel— Advertising analytics and conversion tracking

Your use of the Service is also subject to the terms, policies, and usage limitations of these third-party providers. We are not responsible for the practices, availability, or performance of third-party services. In the event that a third-party service becomes unavailable, changes its terms, or limits access, certain features of LUNA may be affected, modified, or discontinued.

10. Advertising

Free-tier users may be shown advertisements served by Google AdMob and other advertising partners. These ads may be personalized based on your usage data, device information, and preferences, subject to your consent where required by applicable law. Premium subscribers enjoy an ad-free experience. 11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROCKET DIGITAL LIMITED DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Without limiting the foregoing, we do not warrant that:

• The Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components
• AI-generated content will be accurate, appropriate, free from bias, non-infringing, or suitable for any particular purpose
• The quality, style, or characteristics of generated images will meet your expectations or requirements
• Any particular AI model, feature, or style will remain available
• The Service will be compatible with all devices, operating systems, or network configurations

You acknowledge that AI technology is inherently probabilistic and that generated outputs may occasionally include unexpected, inaccurate, or unintended content. You use the Service and all generated content at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ROCKET DIGITAL LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to use the Service
• Any content generated through the Service, including any claims of intellectual property infringement related to such content
• Any unauthorized access to or alteration of your data or transmissions
• Any third-party conduct, content, services, or products related to the Service
• Any interruption, suspension, or termination of the Service

IN ANY CASE, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

13. Indemnification

You agree to defend, indemnify, and hold harmless Rocket Digital Limited and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or in connection with:

• Your use of the Service or any content generated through it
• Your violation of these Terms
• Your violation of any applicable law, regulation, or third-party right
• Any content you upload to the Service, including claims that such content infringes the rights of a third party
• Any dispute between you and a third party relating to your use of the Service or generated content

14. Termination

14.1 Termination by You

You may stop using the Service and delete your account at any time. If you have an active subscription, you must cancel it through your Apple App Store or Google Play Store account settings prior to deleting your account to avoid further charges.

14.2 Termination by Us

We reserve the right to suspend, restrict, or terminate your account and access to the Service at any time, with or without cause and with or without prior notice, including but not limited to situations where:

• You violate these Terms or the Acceptable Use Policy
• We are required to do so by law or a valid legal request
• Your conduct creates risk or possible legal exposure for us
• Your account has been inactive for an extended period
• We discontinue the Service or any material portion of it

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5 (AI-Generated Content Ownership and Licensing), 7 (Intellectual Property Rights), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), and 16 (Governing Law and Dispute Resolution).

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal information. By using the Service, you consent to the practices described in the Privacy Policy. Please review it carefully.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to conflict of law principles.

16.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of the Hong Kong Special Administrative Region. You consent to the exclusive jurisdiction and venue of such courts and waive any objection on the grounds of inconvenient forum.

16.3 Informal Resolution

Before filing any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at hello@rocketdigital.ai. We will endeavor to resolve disputes in good faith within thirty (30) days of receiving your written notice.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Rocket Digital Limited regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision shall be effective only if in writing and signed by an authorized representative of Rocket Digital Limited.

17.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms and our rights and obligations hereunder in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

17.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms resulting from events beyond our reasonable control, including but not limited to natural disasters, wars, terrorism, pandemics, labor disputes, government actions, internet or telecommunications failures, or third-party service outages.

17.6 No Third-Party Beneficiaries

These Terms are intended solely for the benefit of you and Rocket Digital Limited. Nothing in these Terms confers any right, benefit, or remedy on any third party.

18. Changes to These Terms

We reserve the right to modify, update, or revise these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Material changes will be communicated through the App, via email, or through a notice on our website.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue your use of the Service and delete your account.
